Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Softelyx School website (the “Site”) and related educational services, including online courses, webinars, masterclasses, intensives, and structured learning programs (collectively, the “Services”). The Services are provided by Softelyx Education GmbH (“Softelyx School”, “we”, “us”, or “our”).

1. Acceptance of These Terms

By accessing the Site or using any part of the Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or the Services.

You must be at least 16 years old to use the Services. If you are under 18, you represent that you have permission from a parent or legal guardian to use the Services and that they have reviewed these Terms with you.

Our Privacy Policy is incorporated by reference into these Terms. Please read it carefully to understand how we collect and use personal data.

2. Educational Purpose; No Guarantees

All materials, sessions, and communications provided through the Services are for educational purposes only. The Services are designed to support learning in areas such as languages, AI literacy, programming, digital skills, and personal development practices. They are not a substitute for professional advice tailored to your specific circumstances.

We do not provide financial, career, or professional guarantees. Learning outcomes vary based on starting level, time spent practicing, consistency, and other factors outside our control. Any examples of progress or typical course cadence are illustrative and do not promise a particular result.

Guest experts may participate as invited educators. Their contributions are educational in nature and do not create an advisory, employment, consulting, or agency relationship with you.

3. Description of the Services

Softelyx School provides learning experiences delivered online. Formats may include multi-session courses, cohort-based programs, live webinars, masterclasses, and short intensives. Programs may include practical assignments, feedback, formative checkpoints, and a short end-of-track review or confirmation of completion where stated.

We may update, refine, or discontinue parts of the Services from time to time. We may also change content, instructors, session timing, or delivery tools to improve quality or respond to operational constraints. If a change materially affects a scheduled cohort you have enrolled in, we will make reasonable efforts to provide timely notice and an appropriate alternative.

4. Acceptable Use

You agree to use the Site and Services in a lawful, respectful, and secure manner. You must not:

  • Attempt to bypass or interfere with security features, rate limits, or access controls.
  • Scrape, crawl, or harvest content or data from the Site using automated tools without our written permission.
  • Upload or transmit malware, phishing content, or any code intended to disrupt or damage systems.
  • Impersonate another person, misrepresent your identity, or submit false contact information.
  • Use the Services to send spam or unsolicited promotional messages.
  • Access the Site from regions where doing so would violate applicable sanctions or export control laws.

We may suspend or restrict access if we reasonably believe your activity violates these Terms or risks harm to the Site, our learners, or our staff.

5. Intellectual Property and Limited License

The Site, lesson materials, curriculum structure, session recordings (if provided), and all related content and code are owned by Softelyx Education GmbH or its licensors and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the materials for your personal learning purposes. You may not copy, reproduce, distribute, publicly display, sell, sublicense, or create derivative works from the materials unless we explicitly permit it in writing.

If you share notes or summaries for personal study, you must not include proprietary materials in a way that substitutes for the original resources or violates these Terms.

6. Third-Party Services and Links

The Services may reference or rely on third-party tools for delivery (for example, video conferencing or document hosting) or may include links to third-party resources. Third-party services are governed by their own terms and privacy practices. We are not responsible for third-party content, availability, or security practices.

7. Disclaimer of Warranties

The Site and Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. We also do not warrant that learning materials will meet every learner’s individual expectations or produce specific outcomes.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Softelyx Education GmbH and its directors, employees, contractors, and instructors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site or Services.

To the extent any liability is not excluded, our total aggregate liability for all claims arising out of or related to the Services will not exceed the greater of (a) the amount you paid to us for the Services in the twelve (12) months before the event giving rise to the claim, or (b) EUR 100.

Nothing in these Terms limits liability that cannot be limited under law, including liability for intentional misconduct or gross negligence where such limitation is prohibited.

9. Indemnification

You agree to indemnify and hold harmless Softelyx Education GmbH and its affiliates, officers, employees, contractors, and instructors from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from (a) your misuse of the Services, (b) your violation of these Terms, or (c) your submission of content or information that infringes rights of a third party or violates applicable law.

10. Force Majeure

We will not be liable for any delay or failure to perform resulting from events beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, internet or cloud provider outages, cyberattacks, or governmental actions.

11. International Use

The Services are operated from Germany. We make no representation that the Services are appropriate or available for use in every jurisdiction. You are responsible for compliance with local laws that may apply to your access and use.

12. Governing Law and Venue

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of law principles. If you are a consumer in the European Union, you may also benefit from mandatory consumer protection laws of your country of residence where applicable.

Where permitted by law, the courts of Munich, Germany will have jurisdiction over disputes arising out of or related to these Terms or the Services.

13. Dispute Resolution

Before starting formal legal proceedings, you agree to contact us and provide a brief written description of the issue and your requested resolution. We will attempt to resolve disputes informally within thirty (30) days.

Nothing in this section limits any rights you may have to bring a claim in a court of competent jurisdiction, including consumer rights that cannot be waived.

14. Termination

We may suspend or terminate access to the Site or Services at any time if we reasonably believe you have violated these Terms or if your use poses a security risk. You may stop using the Services at any time.

Sections that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitation of liability, indemnification, and governing law.

15. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Softelyx Education GmbH regarding the Services and supersede any prior or contemporaneous understandings.

17. Assignment; No Waiver

We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.

18. Changes to These Terms

We may update these Terms from time to time. Changes will become effective fourteen (14) days after they are posted on this page, unless a change is required by law or is purely administrative, in which case it may take effect immediately. The “Last Updated” date at the top indicates the latest revision.

19. Electronic Communications

By using the Services, you consent to receiving communications from us electronically, such as emails related to enrollment requests, scheduling, or updates you have requested. You agree that electronic communications satisfy legal requirements that such communications be in writing.
