1. Acceptance of These Terms

These Terms of Service (the “Terms”) govern your access to and use of the ClipperCraft Barber Academy website and related online pages (the “Site”). By browsing the Site, contacting us, or submitting a form, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

The Site is operated by CVP Finco I B.V. (trading as ClipperCraft Barber Academy) with offices at Wilhelminakade 300, Kop van Zuid, 3072 AR Rotterdam, Netherlands. References to “we”, “us”, or “our” refer to CVP Finco I B.V. References to “you” refer to the visitor or user of the Site.

You must be at least 16 years old to use the Site and submit forms. If you are under 18, you may use the Site only with the involvement and supervision of a parent or legal guardian. Our Privacy Policy is incorporated by reference and forms part of these Terms.

2. Educational and Professional Disclaimer

ClipperCraft Barber Academy provides vocational education and skills training for barbering. The Site content and any course descriptions are provided for general informational purposes and to explain our training approach. They do not constitute a promise of specific outcomes.

• Our materials are intended for educational and professional development purposes.
• Any improvements depend on practice frequency, baseline skill level, and adherence to technique standards.
• We do not provide financial, career, or professional guarantees (including earnings, employment, or licensing outcomes).
• Where guest instructors or visiting educators contribute, they do so as independent invited experts. Their viewpoints may not represent a universal standard and should be evaluated within your local shop context.

You are responsible for your own decisions and for applying any training safely and in compliance with applicable hygiene and workplace requirements in the Netherlands.

3. Description of the Site and Services

The Site is used to describe our barber courses, share information about training features, and allow prospective students or barbershop owners to contact us. We may publish information about course topics such as clipper control, section mapping, scissor work fundamentals, hygiene workflow, station setup, and consultation language.

The Site itself does not provide a public e-commerce checkout. Enrollment details, scheduling, and payment terms (if applicable) are confirmed directly with you during booking. Any timetable, course outline, or pricing information shown on the Site is indicative and may be updated.

We may modify, suspend, or discontinue any part of the Site, including pages, content, or features, at any time. We aim to keep information accurate, but we do not warrant that every page is complete or current at all times.

4. Acceptable Use

You agree to use the Site responsibly and in a way that does not interfere with other visitors, our infrastructure, or our rights. In particular, you must not:

• Attempt to gain unauthorized access to the Site, servers, or related systems.
• Probe, scan, or test the vulnerability of the Site or bypass security measures.
• Use automated scraping, crawling, or harvesting tools to collect content or data without written permission.
• Submit false, misleading, or impersonated information through contact forms.
• Transmit malware, phishing content, or any code designed to interrupt, damage, or limit system functionality.
• Use the Site to send spam or unsolicited communications.
• Use the Site in a manner that violates applicable laws and regulations in the Netherlands or in your location.

We may suspend or block access where we reasonably believe misuse is occurring, including repeated attempts to disrupt the Site or submit abusive messages.

5. Intellectual Property

Unless stated otherwise, the Site and all content on it—including text, course descriptions, curriculum structure, diagrams, videos (if any), branding, design elements, and code—are owned by CVP Finco I B.V. or licensed to us. ClipperCraft Barber Academy and related marks are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to view the Site for personal and informational purposes. You may not reproduce, distribute, modify, publish, create derivative works from, or commercially exploit any content without our prior written permission.

6. Third-Party Services and Links

The Site may reference or integrate third-party services required for standard website operation (for example, content delivery and security services). Our pages may also embed mapping functionality on the contact page to show our Rotterdam location.

Where we rely on third parties, we are not responsible for their separate terms, policies, or availability. Your use of third-party services may be subject to those third parties’ terms and privacy practices.

7. Disclaimer of Warranties

The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free from harmful components. While we take reasonable measures to protect the Site, no online service can be guaranteed fully secure.

8. Limitation of Liability

To the maximum extent permitted by law, CVP Finco I B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data arising out of or related to your use of (or inability to use) the Site.

To the extent we are found liable for any claim relating to the Site, our total aggregate liability shall be limited to the greater of (a) the amount you paid to us in the preceding 12 months for services purchased through direct booking, or (b) €100.

Nothing in these Terms limits or excludes liability that cannot be excluded under Dutch law, including liability for intent (opzet) or gross negligence (grove schuld), or any mandatory consumer protections that apply to you.

9. Indemnification

You agree to indemnify and hold harmless CVP Finco I B.V., its directors, employees, contractors, and invited instructors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your misuse of the Site.
• Your violation of these Terms.
• Your submission of unlawful, infringing, or harmful content through forms or communications.

10. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, pandemics, labor disputes, internet or telecommunications failures, power outages, cyberattacks, or failures of hosting and cloud providers.

11. International Use

The Site is operated from the Netherlands. We make no representation that the Site content is appropriate or available for use in all jurisdictions. If you access the Site from outside the Netherlands, you are responsible for compliance with local laws where applicable.

12. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the laws of the Netherlands.

Unless mandatory consumer law provides otherwise, the competent courts of Rotterdam, the Netherlands shall have exclusive jurisdiction over disputes arising from these Terms or your use of the Site.

If you are a consumer resident in the European Union, you may also benefit from mandatory consumer protections and may be able to bring proceedings in the courts of your country of residence where applicable.

13. Dispute Resolution (Informal First)

Before initiating formal proceedings, you agree to contact us and attempt to resolve the issue informally for at least 30 days. Many questions can be resolved quickly by clarifying booking details, schedules, or the scope of information shown on the Site.

14. Termination

We may suspend or terminate your access to the Site if we reasonably believe you have violated these Terms, created risk, or disrupted the Site. Termination does not waive any rights or remedies available to us.

The sections concerning intellectual property, disclaimers, limitation of liability, indemnification, and governing law will survive termination.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be interpreted to the maximum extent permitted to reflect the original intent.

16. Entire Agreement

These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and CVP Finco I B.V. regarding your use of the Site and supersede any prior communications on the same subject.

17. Assignment

We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

18. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of CVP Finco I B.V.

19. Modifications to These Terms

We may update these Terms from time to time to reflect changes to the Site, our practices, or legal requirements. Updated Terms will be posted on this page and will generally take effect 14 days after posting, unless a change is required to take effect sooner for legal reasons.

Your continued use of the Site after the effective date of an update constitutes acceptance of the revised Terms.

20. Electronic Communications

By using the Site and contacting us electronically, you consent to receive communications from us in electronic form. You agree that electronic communications, including emails and notices posted on the Site, satisfy any legal requirement that such communications be in writing.
